MotoMM Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) are a binding agreement between you and MotoMM (“we”, “us”, “our”) governing your use of the MotoMM mobile application and related services (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy.
If you do not agree to these Terms, do not create an account or use the Service.
2. Eligibility
You must be at least 18 years old to create a MotoMM account or use the Service. By creating an account, you confirm that you are 18 or older. We may suspend or terminate accounts of users we reasonably believe to be under 18.
3. Your Account
You are responsible for maintaining the security of your account credentials. You may not share your account with anyone, and you must not let anyone else use your account. Notify us immediately at security@motomm.com if you become aware of any unauthorized access to your account.
You are responsible for all activity that occurs through your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Impersonate any person or entity, or create a fake profile
- Harass, threaten, defame, or otherwise abuse other users
- Upload content that is unlawful, obscene, infringing, defamatory, or otherwise objectionable
- Upload photos that are not of you, where the Service uses your photo for identity-related features
- Attempt to gain unauthorized access to the Service, other users’ accounts, or our systems
- Interfere with or disrupt the Service or its infrastructure
- Use the Service to send unsolicited communications, including spam
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Use automated means (bots, scrapers, crawlers) to interact with the Service without our written permission
- Use the Service to harm yourself or others
We may suspend or terminate your account for violations of this section.
5. User Content
You retain all rights to the content you upload to the Service (photos, ride data, messages, etc.). By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display the content as necessary to operate the Service.
You are solely responsible for the content you upload, and you confirm that you have all necessary rights to do so. You must not upload content that infringes on the intellectual property rights or privacy rights of others.
We may remove content that violates these Terms or applicable law, without notice.
6. Crash Detection Feature
6.1 Description
Crash Detection is a supplementary safety feature provided by the MotoMM Service. When enabled, it uses on-device motion sensor and GPS analysis during active ride recording to detect possible crash events. When a possible crash is detected:
- Your designated emergency contact will receive an automated SMS and voice call via our service provider Twilio.
- Your designated crash buddies (other MotoMM users you have invited and who have accepted the role) will receive an in-app notification.
You can cancel a dispatched alert within five minutes by tapping “Cancel SOS” in the application. If you cancel, your emergency contact will receive a follow-up SMS indicating a false alarm.
6.2 NOT A SUBSTITUTE FOR EMERGENCY SERVICES
CRASH DETECTION IS NOT A SUBSTITUTE FOR EMERGENCY SERVICES. It may fail to detect a crash, dispatch alerts late, fail to dispatch alerts at all, trigger false alarms, or be unavailable due to device condition, network conditions, battery level, sensor accuracy, or other factors outside our control.
You must not rely solely on Crash Detection for your safety. You should know how to contact your local emergency services directly (for example, 911 in the United States, 112 in the European Union, 999 in the United Kingdom) and ensure that you can do so independently of the Service.
You acknowledge that Crash Detection is an aid, not a guarantee. We are not liable for any failure of Crash Detection to detect a crash, dispatch an alert, or any consequence of such failure, except where such liability cannot be excluded under applicable law.
6.3 Designated Emergency Contact
When you designate an emergency contact in the MotoMM app, we send the contact a one-time verification SMS asking them to confirm by replying YES. No crash alert SMS or voice call will ever be dispatched to that number until the contact replies YES. This is a direct recipient-side opt-in and is the consent record we rely on.
By providing your contact’s name and mobile phone number, you confirm that:
(a) You have obtained the contact’s prior permission to share their name and mobile phone number with MotoMM and to send them the one-time verification SMS described above.
(b) You have informed the contact that, if they reply YES, they may subsequently receive automated SMS messages and voice calls from a US-based phone number if MotoMM detects a possible crash event during your ride.
© You have informed the contact that they can opt out at any time by replying STOP to any message from this number, and that STOP is honored immediately and permanently for that number.
You are solely responsible for the accuracy of the contact’s phone number and for having permission to send the verification SMS to it. MotoMM has no relationship with the contact prior to their YES reply; from the YES reply onward, the contact has consented directly to MotoMM and can opt out directly via STOP.
If your emergency contact opts out, withdraws consent, replies STOP, or otherwise indicates they do not wish to receive crash detection alerts, MotoMM will mark the contact as opted out automatically. You may also remove or change your emergency contact at any time in the app; changing the contact’s name, phone number, or locale triggers a fresh verification SMS to the (possibly new) number.
If the contact does not reply YES, the MotoMM crash detection SMS and voice path remains disabled for that number. The MotoMM app will surface this status to you before each ride so you know whether SMS and voice alerts will be dispatched in the event of a possible crash. In-app notifications to crash buddies (other MotoMM users you have invited) are unaffected by the SMS/voice opt-in state and follow their own consent process described in section 6.4.
6.4 Crash Buddies
Crash buddies are existing MotoMM users you designate from your crew connections to receive in-app notifications if a possible crash is detected. Each designated crash buddy must explicitly accept the role through the MotoMM app before they will receive any alerts. Either party may revoke the relationship at any time.
6.5 Rate Limits
To prevent abuse and runaway billing, MotoMM enforces a maximum of five (5) Crash SOS dispatches per rider per 30-day rolling window. Genuine emergencies are very rare and this limit is well above expected usage. If you reach this limit, additional dispatches will be blocked until the window resets.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
This disclaimer does not affect any rights you have under applicable consumer protection law that cannot be excluded by contract.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MOTOMM AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING FAILURES OR INACCURACIES OF THE CRASH DETECTION FEATURE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event will our total liability to you for all claims arising from or related to the Service exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred euros (€100).
Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by applicable law.
10. Termination
You may delete your account at any time through the application’s settings. When you delete your account, your personal information will be deleted or anonymized as described in the Privacy Policy.
We may suspend or terminate your account if we reasonably believe you have violated these Terms, if required by law, or if continued service is not commercially viable. Where possible, we will provide reasonable advance notice.
The following sections survive termination: 5 (User Content license to the extent content is retained for backups), 6.2 (Disclaimer), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 11 (Governing Law and Disputes), and 13 (Miscellaneous).
11. Governing Law and Disputes
These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-laws principles.
Any dispute arising from or related to these Terms or the Service shall be resolved in the state or federal courts located in Albuquerque, New Mexico, United States, unless local consumer protection law gives you the right to bring proceedings in the courts where you reside.
12. Changes to These Terms
We may modify these Terms from time to time. We will notify you of material changes by email or through the Service. The “Last updated” date at the top of these Terms reflects the most recent revision. Continued use of the Service after a change indicates your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
13. Miscellaneous
Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and MotoMM regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
No waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment. You may not assign these Terms or your account to anyone else. We may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of assets.
